In the past, directors were tasked with a critical responsibility: evaluating the competence and integrity of management teams and the outside professionals hired to support the organization. Today, as AI tools increasingly replace traditional professionals, this responsibility is evolving.


It is no longer sufficient for directors to rely solely on assurances from management or vendors about the efficacy of AI systems. Boards must now develop the capacity to evaluate the viability and risks associated with these tools. This includes assessing how these systems impact #privacy, #transparency, #fairness while ensuring they align with the organization’s strategic objectives and values.


The risks of unchecked AI adoption—ranging from operational inefficiencies to ethical violations—underscore the importance of proactive oversight. Standards like ISO 42001 offer a framework for managing AI governance, but the board’s role extends beyond compliance. Directors must be prepared to ask the tough questions:


 • Is the data used to train these systems robust and unbiased?


 • Are the AI’s recommendations explainable and defensible?


 • What safeguards are in place to mitigate unintended consequences?


Directors must adapt now, balancing the clear challenges and immense opportunity to harness AI responsibly for lasting success.
